Terms & Conditions

Effective Date: September 17, 2025

Welcome to the Priority Equipment Services website. These Terms and Conditions govern your use of PriorityEquipmentMN.com and any information, product listings, quote-request forms or other features available through the website.

By accessing or using this website, you agree to these Terms and Conditions. If you do not agree, please do not use the website.

1. About Priority Equipment Services

Priority Equipment Services is a family-owned Minnesota business providing commercial ice machines, refrigeration equipment, cooking equipment, and related purchasing, delivery and installation coordination.

References to “Priority Equipment Services,” “Priority,” “we,” “us” or “our” refer to Priority Equipment Services. References to “you” or “your” refer to the website visitor, customer or business requesting information or a quote.

2. Website Information

We work to provide useful and accurate information. However, product descriptions, photographs, specifications, dimensions, capacities, features, model numbers, availability and other website content are provided for general informational purposes.

Manufacturers may change products or specifications without notice. Some photographs may show optional equipment or accessories that are not included with the standard product.

Priority does not guarantee that all website information will always be complete, current or error-free. Please confirm all critical specifications, dimensions, utility requirements and features with us before purchasing equipment.

3. Product Listings and Availability

Products displayed on this website are subject to manufacturer availability, distributor inventory and possible discontinuation.

Displaying a product does not guarantee that it is currently available for purchase. We may recommend a comparable replacement when a listed model has been discontinued, changed or is unavailable.

Priority reserves the right to correct website errors and update or remove product information at any time without notice.

4. Quote Requests

Submitting a quote request does not create a contract, reserve equipment or obligate Priority to sell or provide any product or service.

Information submitted through the website helps us understand your equipment needs. We may contact you for additional information before preparing a recommendation or quote.

A purchase becomes binding only after the applicable written quote, estimate, proposal, sales agreement or invoice has been accepted and any required deposit or payment has been received.

5. Pricing

Unless specifically stated otherwise in a written quote:

  • Website content does not constitute a binding price offer.

  • Prices are subject to manufacturer and distributor changes.

  • Taxes, freight, delivery, installation, permits, accessories, utility modifications, disposal and other project costs may be additional.

  • Pricing errors may be corrected before an order is accepted.

  • Quotes are valid only for the period stated on the quote.

If website information conflicts with an accepted written quote or agreement, the accepted written document will control.

6. Orders, Deposits, Changes and Cancellations

Order requirements, payment schedules, deposits, cancellation rights, returns, restocking charges and other transaction-specific conditions will be stated in the applicable quote, estimate, invoice or sales agreement.

Certain equipment may be specially ordered, built to order, configured for a particular customer or nonreturnable. Manufacturer and distributor cancellation or restocking charges may apply.

Customers should review all product specifications and written order terms carefully before approving an order.

7. Equipment Selection

Priority may provide practical recommendations based on the information supplied by the customer. The customer remains responsible for providing accurate information about:

  • Intended equipment use

  • Required production or storage capacity

  • Available space and access

  • Doorways, stairs and delivery routes

  • Electrical, gas, water, drainage and ventilation requirements

  • Applicable building, fire, health and mechanical requirements

Final equipment selection must be approved by the customer before ordering.

8. Delivery and Installation

Delivery and installation services are available only when included in a written quote or agreement.

Unless otherwise agreed in writing, the customer is responsible for ensuring that the location is ready before delivery or installation. This may include providing safe access, adequate clearances, proper flooring, required utilities, shutoff valves, drains, ventilation, permits and work by appropriately licensed trades.

Additional charges may apply when site conditions differ from the information provided, access is restricted, utilities are incomplete, special handling is required or a scheduled delivery or installation cannot be completed for reasons outside Priority’s control.

Delivery dates are estimates unless expressly guaranteed in writing. Priority is not responsible for delays caused by manufacturers, distributors, freight carriers, supply interruptions, weather, labor disruptions, government actions or other circumstances beyond our reasonable control.

9. Manufacturer Warranties

Equipment warranties are generally provided by the applicable manufacturer and are subject to that manufacturer’s terms, exclusions, registration requirements and claim procedures.

Priority does not independently extend or replace a manufacturer’s warranty unless expressly stated in writing. Labor, travel, freight, removal, reinstallation and other expenses may not be covered by a manufacturer’s warranty.

Customers should retain purchase documents and follow all manufacturer requirements for installation, operation, cleaning and maintenance.

10. Third-Party Websites and Manufacturers

This website may contain links to manufacturer, distributor or other third-party websites. These links are provided for convenience and informational purposes.

Priority does not control third-party websites and is not responsible for their content, availability, security, privacy practices or accuracy. Accessing a third-party website is at your own discretion.

Manufacturer names, logos and trademarks belong to their respective owners. Their appearance on this website does not transfer ownership to Priority.

Unless otherwise identified, Priority’s website design, written content, original graphics, branding and logo are owned by or licensed to Priority Equipment Services and are protected by applicable intellectual-property laws.

You may view or print website information for legitimate personal or business purchasing purposes. No other reproduction, distribution, modification or commercial use is permitted without written authorization.

13. Disclaimer of Warranties

To the fullest extent permitted by applicable law, this website and its content are provided on an “as available” basis without warranties regarding uninterrupted availability, accuracy, completeness or suitability for a particular purpose.

18. Governing Law

These Terms and Conditions are governed by the laws of the State of Minnesota, without regard to conflict-of-law principles.

Any dispute relating solely to use of this website will be handled in an appropriate state or federal court located in Minnesota, unless the parties agree to another resolution process in writing.

19. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect.
